Terms of Service

These terms are a contract between you and vstdex. Read them. By using the site or creating an account, you accept them. If you don't accept them, don't use the site.
1. Acceptance
By accessing vstdex.com (the “Site”), creating an account, or clicking any link on the Site, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy, which is incorporated here by reference. If you do not agree, your only remedy is to stop using the Site.
We may update these Terms at any time. Material changes will be flagged on the homepage and, for registered users, sent by email. Continuing to use the Site after a change is published means you accept the updated Terms.
2. Eligibility
You must be at least 16 years old (or the age of majority in your jurisdiction, whichever is greater) to use the Site. If you create an account, you confirm that you meet this requirement and that the information you give us is accurate. The Site is intended for adult music producers, mixing engineers, and similar professionals; it is not directed at children.
3. Your account
You are responsible for keeping your login credentials secret and for everything that happens under your account. Tell us promptly through our contact form if you suspect unauthorized access. We may suspend or close any account at any time, with or without notice, for any reason or no reason — including suspected violation of these Terms.
4. Acceptable use
You agree NOT to:
- Scrape, crawl, or harvest data from the Site by any automated means without our prior written consent (this includes “AI training” use cases).
- Resell, redistribute, or sublicense any data we surface (prices, taxonomy, descriptions, tags, images).
- Probe, test, or stress the Site's security or infrastructure.
- Reverse engineer, decompile, or attempt to derive source code from any part of the Site.
- Impersonate another person, manufacturer, or retailer.
- Submit content (flags, recommendations, watchlist items, contact messages, profile data) that is unlawful, defamatory, obscene, infringing, harassing, or that you don't have the right to submit.
- Use the Site to violate any applicable law or third-party right, including intellectual property, privacy, and publicity rights.
- Interfere with anyone else's use of the Site or attempt to overload it (rate-limit bypass, denial of service, etc.).
We may remove any user content and terminate any account at our sole discretion, with no liability to you, if we believe in good faith that this section has been violated.
5. Catalog data and pricing
vstdex is a curated index, not a store. We are not the seller of any plugin or bundle listed. Prices, formats, system requirements, version numbers, license terms, and other catalog facts come from manufacturer pages and retailer pages and may be inaccurate, out-of-date, or change without notice. Always verify any fact that matters to your purchase on the retailer's own page before buying. We make no representation that any plugin is available, fit for any particular purpose, or compatible with your system.
6. Affiliate links
Some retailer links on the Site are affiliate links. Clicking one and completing a purchase may earn us a commission at no extra cost to you. We do not receive your purchase details. Affiliate participation does not influence which plugins are listed or how they are described. See the affiliate disclosure on the About page for more.
7. Third-party links and services
The Site links to retailer, manufacturer, and other third-party pages. We do not control those pages, do not endorse them, and are not responsible for their content, pricing, products, terms, privacy practices, or anything else that happens when you leave the Site. Your dealings with any third party are solely between you and that third party.
8. Intellectual property
The Site's design, layout, code, original written content, original taxonomy, and the “vstdex” name are owned by vstdex and protected by copyright and trademark law. Plugin names, manufacturer names, retailer names, and product images are the property of their respective owners and appear here for identification and editorial purposes only. Nothing on the Site grants you a license to anyone else's trademark or copyrighted material.
You retain ownership of content you submit (flags, recommendations, contact messages). By submitting it, you grant us a worldwide, royalty-free, sublicensable, perpetual license to use, store, display, modify, and distribute that content for the purpose of operating and improving the Site.
9. Copyright complaints (DMCA)
If you believe content on the Site infringes your copyright, send a written notice through our contact form with the subject line “DMCA Notice.” Your notice must contain the information required by 17 U.S.C. § 512(c)(3): identification of the work, identification of the allegedly infringing material, your contact information, a statement of good-faith belief, a statement under penalty of perjury that the information is accurate, and your signature.
10. NO WARRANTIES — THE SITE IS PROVIDED “AS IS”
THE SITE AND ALL CONTENT, DATA, AND SERVICES ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SITE IS SECURE, BUG-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL CODE.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT ALLOWED BY LAW, IN NO EVENT WILL vstdex, ITS OPERATORS, OFFICERS, AGENTS, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES — WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, IN AGGREGATE, IS LIMITED TO ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions don't allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the smallest extent permitted by law.
12. Indemnification
You agree to defend, indemnify, and hold harmless vstdex and its operators, officers, agents, and licensors from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any content you submit. We may, at our option, take over the defense of any claim subject to this indemnity, in which case you will cooperate with us.
13. BINDING ARBITRATION — READ THIS CAREFULLY
BY USING THE SITE OR CREATING AN ACCOUNT, YOU AND vstdex AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY INTERACTION BETWEEN YOU AND vstdex WILL BE RESOLVED EXCLUSIVELY BY INDIVIDUAL, BINDING ARBITRATION AND NOT IN A COURT, AND THAT YOU AND vstdex ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.
Arbitration will be administered by JAMS under its Streamlined Arbitration Rules then in effect, by a single arbitrator. The seat of arbitration is Delaware. The arbitrator has exclusive authority to decide all issues, including the scope and enforceability of this arbitration agreement, except that a court of competent jurisdiction (and not the arbitrator) may decide whether the class-action waiver is enforceable. The Federal Arbitration Act governs the interpretation and enforcement of this section.
Carve-outs. Either party may bring an individual claim in small-claims court if it qualifies. Either party may seek injunctive or equitable relief in court to stop unauthorized use of the Site or infringement of intellectual property.
30-day opt-out. You can opt out of this arbitration agreement through our contact form with the subject “Arbitration Opt-Out” within 30 days of first accepting these Terms. The email must include your name and the email address on your account. Opting out doesn't affect any other part of these Terms.
Class-action waiver. You and vstdex each agree that any proceeding will be conducted only on an individual basis and not as a class, collective, representative, mass, or consolidated action. If this class-action waiver is found unenforceable, the arbitration agreement as a whole is void as to the claim that triggered that finding.
14. Governing law and venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. For any dispute not subject to arbitration (e.g., an equitable-relief action), you and vstdex consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Delaware, and waive any objection to that venue.
15. Attorneys' fees
In any action or proceeding to enforce these Terms (including arbitration), the prevailing party is entitled to recover its reasonable attorneys' fees and costs from the other party, to the extent allowed by law.
16. Termination
You may stop using the Site at any time. You may delete your account at any time through our contact form or using the in-account delete control if available. We may suspend or terminate your access to the Site at any time, for any reason, with or without notice, and with no liability to you. Sections that by their nature should survive termination — including Acceptable Use, IP, Warranty Disclaimer, Limitation of Liability, Indemnification, Arbitration, Governing Law, Attorneys' Fees, and this Termination clause — will survive.
17. Changes to the Site or these Terms
We may add, change, suspend, or discontinue any part of the Site at any time without notice and without liability. When we change these Terms, we'll update the “Last updated” date at the top and, for material changes, post a homepage notice and email registered users. The change is effective when posted; continued use of the Site means you accept the change.
18. Miscellaneous
Entire agreement. These Terms (with the Privacy Policy) are the entire agreement between you and vstdex about your use of the Site and supersede any prior agreement on that subject.
Severability. If any part of these Terms is held unenforceable, that part is severed and the rest stays in force, except that if the class-action waiver in Section 13 is held unenforceable, the arbitration agreement in Section 13 is void in its entirety as to the claim that triggered that finding.
No waiver. Our failure to enforce any provision is not a waiver of that provision.
Assignment. You may not assign these Terms. We may assign them to any successor or affiliate without your consent.
Force majeure. We are not liable for any failure caused by events outside our reasonable control (acts of God, outages, attacks, government action, etc.).
